Oracle 啟動 $10B 債券發售,並同步進行 $10B 股份發售
Oracle launches $10B bond sale alongside $10B share offering
Oracle began marketing $10bn in investment-grade bonds on Monday, alongside a separate $10bn share offering, according to a filing with the US Securities and Exchange Commission.
The bond sale is divided into six tranches. One carries a floating interest rate and matures in 2029. The other five have fixed rates, with maturities in 2029, 2031, 2033, 2037 and 2046.
The preliminary filing did not specify the interest rates or the amount allocated to each tranche. BofA Securities is leading the bond sale, with Wells Fargo, Citigroup, JPMorgan and Deutsche Bank among the other banks involved.
The bond and share offerings are separate transactions, meaning either can go ahead without the other. Oracle said it plans to use the proceeds for general corporate purposes, which could include capital expenditure, debt repayment, acquisitions, dividends and share buybacks.
The fundraising follows Oracle’s investor day in Las Vegas on 28 October. At the event, the company said it would raise up to $20bn in new capital through fiscal 2030, split evenly between debt and equity.
That limit excludes refinancing of existing debt. It also comes after Oracle completed a $20bn share sale between June and August.
“We’re announcing that this $20 billion, split evenly between debt and equity, is the final amount needed to fund the remainder of this cycle,” chief financial officer Hilary Maxson said at the event.
The capital is intended to support Oracle’s data centre expansion for AI customers, including OpenAI. The company spent $55.7bn on data centres in the year ending May 2026. It expects spending to peak this year and next, before declining in fiscal 2029.
The expansion is adding to Oracle’s existing debt burden. As of 31 August, the company reported around $236.1bn in total liabilities, including $125.3bn in senior unsecured borrowings, according to the filing.
Oracle expects its free cash flow to turn positive in the second half of fiscal 2028. It said the new bonds are expected to be delivered to buyers two business days after the offering is priced.
