RWS Closes £22.4M Enterprise-Value Deal For Acolad Parent Acogroup
RWS announced on November 2, 2026 that it has completed its acquisition of Acogroup, the parent company of language and content services provider Acolad, at an enterprise value of £22.4 million, following the completion of social consultation and all regulatory approvals.
RWS, a global AI solutions company headquartered in Maidenhead, UK and listed on the AIM market, said the acquisition strengthens its European and North American presence and expands the reach of its AI technology and platforms. The company described the combined organization as offering one of the industry’s broadest portfolios of AI content solutions alongside interpreting, transcription and regulated-industry expertise.
What the Combination Adds for Customers
Acolad’s customers will gain access to RWS’s Cultural Intelligence Layer, Language Weaver Pro, Trados and a growing portfolio of AI platforms, supported by the combined organization’s language and content expertise. RWS said the capabilities will enable AI-powered workflows for enterprises while maintaining quality, cultural relevance and human oversight.
“Today marks an exciting new chapter for RWS and Acolad, and above all for our customers,” said Benjamin Faes, Chief Executive Officer of RWS. He said the combined organization pairs technology with specialist expertise to help customers address complex content challenges and expand into international markets.
Acolad brings an established enterprise customer base and expertise in localization, interpreting, transcription and data services. RWS said Acolad’s strengths in regulated industries, public institutions and medical devices complement its existing capabilities, particularly in life sciences.
Transaction Terms
RWS’s wholly owned subsidiary, RWS Global Holdings Limited, entered the binding agreement to acquire Acogroup from its security holders on August 3, 2026, according to the company’s regulatory announcement. The total consideration payable by RWS is £40.2 million (€46.6 million), which includes payment for approximately £17.8 million (€20.6 million) of cash at completion.
The agreement covered the acquisition of all outstanding bonds owned by funds and accounts managed or advised by Barings and issued by V.O. Paris, an Acogroup subsidiary; the bonds became an intra-group obligation within the RWS group on completion and remain so until unwound. The enterprise value equates to two times Acolad’s adjusted EBITDA to September 30, 2027, with no third-party debt acquired, and RWS would fund the transaction through existing facilities after refinancing its revolving credit facility in October 2025.
Under the agreement’s structure, a binding put option obligated RWS to enter the formal acquisition agreement once two Acogroup subsidiaries completed consultation with their French Works Councils, with the sellers granting exclusivity during that process. Completion was conditional on regulatory clearance from the French Ministry for the Economy, Finance and Industrial, Energy and Digital Sovereignty and any other authority responsible for foreign investment control. The deal qualified as a substantial transaction for RWS under the rules governing AIM-listed companies.
Acolad’s Business and Path to Completion
Founded in 1995 and headquartered in the Paris area, Acolad employs approximately 1,200 people across 22 countries in Europe and North America. About half of Acolad’s revenues come from regulated industries and approximately 75% from localization and related services, with interpreting, transcription and other services making up the remaining 25%, and Acolad works with approximately half of the CAC 40 companies.
In the year to December 31, 2025, Acolad generated revenues of £182 million (€211 million) and adjusted EBITDA of £13 million (€15 million), with gross assets of £404 million (€469 million) at that date.
When the agreement was first announced in August 2026, completion was expected by March 31, 2027, pending the French information and consultation process and other regulatory approvals. Benjamin du Fraysseix, Acolad’s co-founder and former chief executive, said at the time: “Joining forces with RWS represents the natural next chapter of that journey.”
Following completion, Acolad becomes part of RWS’s Transform segment, where RWS said Acolad’s clients and interpreting platform will benefit from the group’s language technology roadmap.
