📅 2 November 2026 • Reuters / Marvell IR

On November 2, Marvell and Lumentum announced a definitive agreement to combine in an all-stock merger that the companies frame as creating a category leader in AI connectivity. Under the fixed exchange ratio of 4.500 Marvell shares per Lumentum share, the deal implies about 1,132 dollars per Lumentum share, a 23.9% premium to the unaffected October 28 close. The implied enterprise value is 115 billion dollars including debt, with equity value of about 102.5B dollars. A status note that matters for planning: this is a signed agreement, not a completed transaction — closing is expected in the first half of 2028, pending shareholder and regulatory approval.

After closing, Marvell shareholders are expected to hold about 67% of the combined company and Lumentum shareholders about 33%. The companies cite a combined total addressable market of 550 billion dollars and target more than 1B dollars in annual run-rate cost synergies. Because the structure is all-stock, consideration is paid in shares rather than cash, and the ownership split reflects the relative size of the two businesses: for Lumentum holders the fixed ratio converts one share into a stake in a much broader platform company.

Strategically, the combination pairs two halves of the AI data center connectivity stack. Lumentum brings lasers, optical transceivers and optical circuit switching that complement Marvell's custom AI chips and interconnect portfolio. As AI clusters scale, moving data between chips, racks and buildings turns optics into one of the decisive cost and performance levers, which is why silicon and photonics keep moving closer together. The all-stock structure also signals long-term commitment on both sides: shareholders of each company end up owning the combined outcome rather than exiting for cash. The counterweight for planning: an all-stock ratio floats with Marvell's share price, so the headline value can move before close.

Per Reuters, this is one of the biggest deals of 2026 and Marvell's biggest acquisition since the 10B dollar Inphi buyout in 2021. One more marker of how strategic the space has become: Nvidia invested 2B dollars in each of the two companies earlier in 2026.

Key figures

IMPACT for practitioners. The deal confirms that AI infrastructure consolidation is now running through the connectivity layer, not only through compute: silicon, optics and interconnect keep converging into single portfolios. Two practical readings for infrastructure and network teams. First, the timeline matters — until shareholder and regulatory approvals close the deal, expected in H1 2028, Marvell and Lumentum remain separate companies with separate roadmaps, pricing and support channels, so it is early to re-plan architectures around a combined product line. Second, the stated numbers set the bar the combined company has to deliver: a 550 billion dollars addressable market and more than 1B dollars in annual run-rate cost synergies. If you buy optics and custom silicon today, expect vendor conversations to reference a combined roadmap only after close. Watch how optical circuit switching and custom accelerators get packaged together, because that combination shapes what AI data center interconnect costs in the next capex cycle.
